Terms and Conditions

These Terms of Service ("Terms") are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the “PLAY A SPORT” ( “PAS”) website at https://dev.playasport.in/ ( "Site") and any related mobile or software applications ("PAS Platform") including but not limited to delivery of information via the website whether existing now or in the future that link to the Terms, information about sellers, providing means to access them, sale of memberships and subscriptions and display, marketing and/or sale of services by SISE Technology Private Limited (“SISE”) through the Website and other Products or services provided through the Website to promote fitness (collectively, the "Platform Services" ).

These Terms are effective for all existing and future PAS customers, including but without limitation to users having access to PAS Platform.

Please read these Terms carefully. By accessing or using the Site and/ or the PAS Platform (collectively, referred to as the “Platform” ), you are agreeing to these Terms and concluding a legally binding contract with SISE and/or its affiliates.

By agreeing to the Terms you signify your acceptance of the Terms and other SISE policies (including the privacy policy, cancellation and refund policy, and take down policy).

The Site and the PAS Platform is owned and operated by SISE Technology Private Limited, a Private Limited Company incorporated under the Companies Act, 2013 and having its registered office at AE-694 Sector 1, Salt Lake City, Bidhan Nagar AE Market, North 24 Parganas, Saltlake, West Bengal, India, 700064 (hereinafter referred to as “SISE” or “Us” or “We” ) and the End User (“you” or “User”).

Definitions and Interpretations:

For the purpose of these Terms, all the defined and capitalized terms have such meaning as assigned to them herein below, any capitalized terms not defined above in Clause 1.1 will have such meaning as assigned to them under the respective clauses of the Agreement:
“Applicable Laws” shall mean acts, rules, ordinances, regulations, notifications, circulars, or decisions of any executive, judicial, administrative, or quasi-judicial authority or another document.
“Intellectual Property Rights” means patents, rights to Inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
“Institution” means the established sports organization or facility that provides structured training, coaching, and resources for the development of children's athletic skills and overall sports education, but excludes SISE.
“Personal Data” means any data about an individual who is identifiable by or in relation to such data.
“Persons” means any natural person, limited or unlimited liability company, corporation, partnership (whether limited or unlimited), proprietorship, Hindu undivided family, trust, union, association, government or any agency or political subdivision thereof or any other entity that may be treated as a person under applicable law.
“Products” means the pass for attending classes, one-day class, vouchers or coupons through the Site or PAS Platform.
“Privacy Policy” means the privacy policy of SISE with respect to treatment of Users’ information as provided here.
“Services” means the provision of providing coaching, training with respect to various sports including providing, facilities for providing structured training, coaching, and resources for the development of children's athletic skills and overall sports education by the Institution. This includes, but is not limited to, the coaching staff, programs, facilities, and services offered by the Institution.
“Users” means any Person who or which uses the Services and Products, including any Persons who or which access the Platform or access the content displayed thereof.
- The words which are used in this Agreement which have special meanings, have been defined in the body of this Agreement.
- The provisions of these Terms form a part of this Agreement and shall have effect as if set out in full in the body of this Terms.
- Words denoting the singular shall include the plural and vice versa.
- Words denoting any gender include all genders.
- The headings in these Terms are inserted for convenience only and shall be ignored in construing any meaning in these Terms.
- Any reference to a natural person shall, include his/her heirs, executors and permitted assignees and any reference to a juristic person shall, include its affiliates, successors and permitted assignees, unless repugnant to the context.

Eligibility to use the Services

You hereby represent and warrant that you are at least eighteen (18) years of age or above and are fully able and competent to understand and agree the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.
Compliance with Applicable Laws: You are in compliance with all the Applicable Laws and regulations of India, when you access and use the Products and Services. You agree to use the Products and Services only in compliance with these Terms and Applicable Law, and in a manner that does not violate our legal rights or those of any third party(ies).
You may not use the Products or Services if you do not accept the Terms or are unable to be bound by the Terms. Your use of the Platform is at your own risk, including the risk that you might be exposed to content that is objectionable, or otherwise inappropriate.
In order to use the Products and/or the Services on the Platform, you must first agree to the Terms. You can accept the Terms by:
- Clicking to accept or agree to the Terms, where it is made available to you by SISE in the user interface for any particular Products or Service; or
- Installing, downloading and actually using the Services. In this case, you understand and agree that SISE will treat your use of the Products or Services as acceptance of the Terms from that point onwards.

Provision of Services

SISE facilitates transactions on its Platform between the User and the participating Institutions for providing the requisite Products and Services and the Users can choose and subscribe to the Services from the list of various Institutions listed on the Platform.
SISE enables the Users to search and select the relevant Institutions for providing the Products or Services, the Users may require, and the Institutions will be responsible for providing the Products or Services and completing the transactions initiated by the Users of the Platforms. For both the Users and the Platforms, SISE is merely acting as an intermediary.
SISE as a facilitator of the Platform Services will charge the Users a service fee (inclusive of applicable taxes whenever not expressly mentioned).
SISE reserves the right to modify, at any time, the nature of Services or Products or any part of Services or Products and these Terms. Users are requested to regularly visit and review these Terms and Privacy Policy, as may be updated from time to time.
The purpose of provision of Products is to offer passes for attending the sessions with the relevant Institution and other vouchers through its Platform.
Users may avail the Products and Services from the Platform by:
- booking trials and appointments through the Platform for a trial session;
- purchasing the membership plans, as available, of the Institutions listed on the Platform;
- purchasing membership offered by SISE on the Platform;
- accessing (directly or indirectly) the Platform or any content thereof shared by SISE or its partner Institutions on the Platform; or
- simply surfing and/or browsing the Platform.
User agrees and acknowledges that for complete access to the Platform Services, she may have to submit certain Personal Data and for successful transaction to be completed on the Platform, it is imperative for the User to provide that all such information is true, accurate, complete and updated.
The Platform may include information and/or links shared by the Institution which may contain materials that may be construed as objectionable, unlawful or inaccurate. SISE does not endorse or support these contents or links or the products or services they provide, these content or links are shared for the Users’ convenience only by the Institutions and SISE is not responsible or liable for the content or accuracy of these links. In case of any concerns, Users may email their issues or concerns to SISE’s grievance officer at the email id __________.
The accreditation, certification, licenses, or permits ('Information') visible on an Institution's listing page within the Platform are provided solely for informational purposes. This information is displayed 'as is available,' sourced by SISE from the Institution. SISE does not guarantee the accuracy, validity, authenticity, or reliability of such Information. Users relying on this Information do so at their own risk. SISE bears no responsibility for any losses or damages incurred due to the use of this Information or for any inaccuracies, discrepancies, invalidity, or non-compliance with Applicable Laws or regulations by the Institution.
Subject to Applicable Laws, SISE may stop provision of Services or Products (or any part of Services or Products), permanently or temporarily, to a User or to Users generally or may modify or change the nature of Services or Products and/or these Terms at its sole discretion, without any prior notice to the Users. Use of Services or Products by a Person following any such modification constitutes such Person’s deemed acceptance to be bound by this Agreement (or as it may be modified).
The User acknowledges that the PAS Platform may include an automatic update or upgrade feature for the software used to access the Platform. You agree that unless restricted by your device, its settings, or computer software, SISE or the relevant software/application store may notify you of available updates or upgrades and automatically deliver them to your device or computer periodically. Installing certain updates or upgrades may be necessary to maintain access or use of the Platform Services or its specific features, including those intended to resolve issues. All updates or upgrades provided by us under these Terms shall be considered an integral part of the Platform Services.
In the event that there is any violation of the Terms, SISE at its discretion may disable a User’s access to her account and she may be prevented from accessing the Platform Services, account and any other content included in the account.
SISE reserves the right, at its discretion, to provide Users with credits, coupons, promotional offer codes, vouchers, or any other forms of cashback. SISE also reserves the right to modify, convert, cancel, or discontinue such credits, promo codes, or vouchers as it deems necessary or appropriate
SISE reserves the right, in accordance with Applicable Laws, to suspend, modify, or terminate the provision of Platform Services, either temporarily or permanently, to any User or Users in general. SISE may also alter the nature of Platform Services and/or these Terms at its sole discretion without prior notice. By using the Platform Services after any modifications, the User is deemed to accept and be bound by the updated terms.

Use of Platform Services

User acknowledges and agrees that access to Product and Services is facilitated through Institutions and SISE does not have any control over the services, operations or management of the Institutions listed under the Products and Services and SISE hereby disclaims any and all liability arising out of User’s use of the Services or Products.
If you provide SISE with any suggestions, ideas, alterations, or documents concerning SISE's activities ("Feedback"), you acknowledge and agree that:
- Your Feedback does not contain confidential or proprietary information belonging to third parties.
- SISE has no obligation to keep your Feedback confidential and retains the freedom to use it without limitations.
- Similar Feedback might have been received from other customers or might already be under SISE's consideration or development.
- By providing the Feedback, you grant SISE an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to utilize, modify, create, publish, distribute, and sublicense the Feedback. Furthermore, you waive any claims or assertions against SISE and its customers related to the provided Feedback.
Users shall use the Services and Products only for such purposes as is permitted by these Terms.
While some of the Services are available to Users free of cost, certain parts of Services may be provided to the Users at a cost. The Products are available to the User on payment of a fee to SISE on its Platform.
SISE reserves the right to charge a subscription and/or membership fee in respect of its Platform Services and/or any other charge or fee from Users, anytime in future
Users are solely responsible for maintaining the privacy and confidentiality of their access details (such as user ID, password, etc.) concerning the Platform. Any access or use of the registered account shall be considered the action of the registered User.
User shall notify SISE immediately about any unauthorised use of her account to enable SISE to take the necessary corrective action.

Intellectual Property Rights

Users agree to comply with applicable copyright, trademark, patent, and trade secret laws governing the use of Services or Products and acknowledge sole responsibility for any infringement arising from their usage.
By uploading, submitting, or transmitting any content or information (“Content”) through the Services or Products, Users grant SISE the license, permitting the use, reproduction, modification, and distribution of such Content for the operation, promotion, improvement of Platform Services, and development of new services. This license remains valid even if the User stops using the Platform Services.
Unless otherwise specified and subject to Applicable Law, SISE retains ownership of all intangible assets and intellectual property, including data generated through Services or Products, unless explicitly granted to the User.
Ownership of data resulting from SISE's engagement with Users or provision of Services solely belongs to SISE, allowing its use according to the Privacy Policy.
SISE upholds the intellectual property rights of individuals and disclaims responsibility for any User violations of such rights.

Restrictions on use of Platform Services

Users agree not to use the Services or Products, for any illegal, unlawful, or prohibited purposes under these Terms.
Users will access the Platform and the Services or Products as provided under the Terms and not attempt any unauthorized access unless specified in a separate written agreement with SISE.
Users must not bypass security features, alter notices, or use Services or Products in a manner that may threaten their integrity, performance, or availability.
Users will not engage in activities such as reverse engineering, collecting data illegally, harassing other Users, or uploading inappropriate content.
Users must comply with the Applicable Laws and regulations, refrain from downloading illegal files, and not misuse the platform's functionalities.
Users shall not transmit harmful elements, interfere with servers or networks, violate code of conduct, or engage in unauthorized access to Services or Products.
Users should refrain from disguising the origin of transmitted content, obtaining materials through unauthorized means, or violating any applicable laws.
Users shall not manipulate attributions, violate existing laws, or breach the Terms or Privacy Policy.
Users commit not to impersonate others, misrepresent affiliations, or falsely claim associations with SISE or its representatives.

Payments and Refund

User is required to make advance payment of the membership fees payable to SISE in such form and manner as permissible on the Platform. SISE may use third party platforms in order to facilitate such payment by the Users and will not be responsible for any loss or damage caused to the User by any such third parties.
User agrees and acknowledges that no refund shall be payable against the membership fees paid to SISE.
Users acknowledge and agree that all fees or payments made in advance for Products and Services are non-refundable. Once payment is made for the Products or Services, no refunds or credits will be issued for any reason, including but not limited to absence, withdrawal, or cancellation of participation. The User understands and accepts this policy before making any advance payments for Products or Services. In the event of any unforeseen circumstances leading to the cancellation of classes by the institution, efforts will be made to reschedule or offer alternative arrangements, but refunds will not be provided.

Termination

Commencement and Termination : Users are bound by these Terms upon the initiation of using the Services or Products until they discontinue using them. Regardless of termination, the rights and obligations of Users, explicitly mentioned or inherent, will persist beyond the end of these Terms.
User Termination and SISE's Rights : Users can terminate this Agreement by discontinuing access to Platform Services, Services or Products. SISE reserves the right to terminate these Terms by suspending or permanently restricting access to Services and Products.
SISE Termination Rights : SISE may terminate a User's access to Services or Products under various circumstances, including breach of terms, non-payment for payable services, cessation of third-party relationships, commercial infeasibility, repeat infringement, or legal requirements.
Compliance and Termination : In case of non-compliance with SISE's rules, regulations, or policies, SISE reserves the right to immediately terminate access to computer resources, remove non-compliant information, or both. SISE will inform Users periodically, at least annually, about compliance requirements outlined in the Terms of Use and Privacy Policy or any amendments.
Continuation of Rights : Upon termination of this Agreement, the legal rights, obligations, and liabilities previously accrued and expressed to continue indefinitely will remain unaffected and persist indefinitely.

Privacy

The Privacy Policy delineates SISE’s protocols for handling and safeguarding User data during their use of Services or Products. By utilizing these Services or Products, Users expressly agree to authorize SISE’s utilization of the data in compliance with the outlined Privacy Policy.
Users agree and acknowledge that the Institution may capture and use photographs, audio or video recordings of the User or the User’s child of whom User is the legal Guardian thereof, during the course for promotional and educational purposes. User understands that her identity/ identity of the child of whom she is a legal guardian will be protected and any Personal Data thereof will be confidential.
Users agree that SISE may use the collected information to provide them with communication regarding SISE’s offerings or updates. SISE may also use the information for marketing purposes, such as sending relevant updates and promotional materials however, the User will always have the option to opt-out of receiving such communications.
SISE takes appropriate measures to protect the User’s Personal Data from any unauthorized access, disclosure, alteration or destruction. SISE uses secure technologies and follows industry-standard practices t ensure the confidentiality and integrity of your data.
SISE does not sell, trade or transfer your Personal Data to any unauthorized third-party without your consent however, the User’s data may be shared with Institutions for providing their Services and Products to the Users. Institutions are bound to maintain confidentiality and security of your information.
The User shall have the right to access, update or delete their Personal Data or any information, shared on the Platform. The User also has the right to restrict or object to the processing of her data. If the User wishes to exercise any such right they can contact the Data protection officer appointed by SISE:

Limitation of Liability

Users acknowledge that their use of Services or Products is at their own risk, absolving SISE from liability for any direct, indirect, incidental, consequential, exemplary, punitive, or other damages arising from such usage. SISE assumes no responsibility for the quality, authenticity, delivery, or any issues pertaining to goods/services provided through the Platform.
User acknowledges that by availing the Services provided by Institutions involves inherent risks. SISE is not liable for any physical, mental or emotional harm that may occur as a result.

Assignment

SISE may assign or transfer any of its rights or obligations under these Terms and conditions to any of its affiliates or any third party at any time.

Indemnification

Users agree to defend and hold SISE harmless against claims, actions, demands, liabilities, judgments, or settlements arising from their use of Services, breaches, or non-compliance with these Terms.

No Warranties

SISE explicitly disclaims all warranties regarding Services or Products' consistent availability, seamless functionality, data accuracy, security measures, or suitability for specific purposes, except as explicitly outlined in these Terms.

Governing Law

These Terms are governed by the laws of India, and any disputes shall be resolved in Mumbai, India. Claims must be initiated within 30 days of the cause of action.

Grievance Redressal

Users have the provision to address complaints to the designated Grievance Officer provided by SISE, ensuring timely resolution as per the applicable law and company guidelines. The details of the Grievance officer are as follows:
